TRADEMARK LICENSE AGREEMENT Terms & Conditions
This Trademark License Agreement (“Agreement”) is made and entered into as of the date listed on the executed order sheet or internet order, by and between My Law Centers, LLC, a Nevada Limited Liability Company (“Licensor”) and company or individual indicated on the order sheet or internet order (“Licensee”).
WHEREAS, Licensor is the owner of the following marks:
Family Law Centers, Personal Injury Law Centers, Bankruptcy Law Centers, DUI Law Centers
(hereinafter, the “MLC Marks”).
WHEREAS Licensee desires to have a non-exclusive license to use one or more of the MLC Marks. Licensee may only use the marks which have been purchased and paid for in accordance with their order sheet or internet order. Any use of additional MLC Marks is a violation of this agreement, US Trademark Law, and will be prosecuted to the fullest extent of the law.
NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows:
1. Licensor hereby grants Licensee a non-exclusive, fully-paid, non-refundable, license to use the FLC Marks worldwide.
2. Licensee must include the name of the territory for which they purchased the mark in all use of the mark. For example, if licensee purchase the mark “Family Law Centers” for the territory of “Tampa, FL”, the licensee must use the mark as “Family Law Centers of Tampa, Fl”. This is required to avoid unnecessary confusion between various licensees.
3. This license shall be effective and continue in effect until terminated in writing by either party, the parties agreeing that any such notice of termination shall be effective ninety (90) days from when the notice is provided, unless otherwise agreed to by the parties.
4. It is expressly agreed between the parties that Licensor retains full ownership of a) the MLC Marks, including any and all variations of the MLC Marks, and any other mark substantially similar to the MLC Marks and b) all present and future registrations of the MLC Marks and any other mark substantially similar to the MLC Marks. Licensee shall not use, adopt or register any trade name, corporate name, domain name, service mark, certification mark, or trademark which incorporates the MLC Marks or any words or design or combination thereof which is substantially similar to or likely to cause confusion with the MLC Marks in accordance with applicable law. Licensee recognizes the value of the goodwill associated with the MLC Marks and acknowledges that all rights therein belong to Licensor. Licensee further agrees that it shall not destroy, impair or in any way impede or challenge the validity of the MLC Marks and Licensor’s ownership of the same.
5. Licensee agrees to maintain a high quality of goods sold or services distributed, rendered or offered under the MLC Marks. Licensor reserves the right to inspect the quality of all goods and services offered/sold under the MLC Marks to insure that the quality thereof is as above required. Licensee agrees to immediately correct any and all defects or inadequacies in the quality of goods/services when brought to its attention.
6. Licensee agrees to promptly provide notice to Licensor of any unauthorized use of the MLC Marks and to reasonably cooperate with Licensor to enforce Licensor’s rights in the MLC Marks.
7. This agreement shall not be assignable by Licensee without the prior written consent of Licensor, which consent may be withheld by Licensor at its sole discretion. This agreement shall be assignable by Licensor in its sole discretion.
8. This agreement and the rights granted herein may not be sublicensed by Licensee without the prior written consent of Licensor, which consent may be withheld by Licensor at its sole discretion.
9. Licensee agrees that all uses of the MLC Marks, including associated goodwill, shall inure to the benefit of and vest in Licensor.
10. This Agreement does not constitute and shall not be construed as constituting a partnership, joint venture or other relationship between Licensor and Licensee. Neither Licensor nor Licensee shall have any right to obligate or bind the other party in any manner whatsoever beyond this agreement. Nothing herein contained shall give or is intended to give any rights of any kind to any third parties.
IN WITNESS WHEREOF, the parties have entered into this Trademark License Agreement as of the date established by the order sheet or internet order date.
This contract consists of and is governed by this order for the licensing of intellectual property and website SEO services, the contract order sheet or internet order listing licenses purchased, and the terms and conditions of the licensing agreement all of which are incorporated herein by reference. You are representing to My Law Centers, LLC: (1) that you have received and had an opportunity to review a copy of the terms and conditions of the licensing agreement and the contract order sheet, (2) that they have the same force and effect as if given in full text on this document, and (3) that you acknowledge My Law Centers, LLC’s reliance upon your acceptance of them. (An additional copy of the terms and conditions of the licensing agreement may be accessed through www.MyLawCenters.com). Annual Fees totaling less than $5000 will be billed to your credit card immediately in a lump sum. Annual fees of $5000 or above will be billed to your credit card monthly. You agree that you have authority to bind the individual and company making this purchase in all respects to this contract and the incorporated terms and conditions.
